Agility Robotics and Churchill Capital Corp XI announced that, after the SPAC's redemption deadline passed, the business combination's expected gross capital raise is about $465 million before expenses. That figure breaks down into roughly $164 million from Churchill XI's trust account, about $201 million from a common stock PIPE priced at $10 per share and led by Foxconn, and $100 million of equity funding already received since the deal was announced.

The combination is expected to close November 4, 2026, pending a Churchill XI shareholder vote on November 2, with the combined company set to begin trading on Nasdaq under the ticker AGLT on November 5. Agility says it expects to be the only US publicly listed, pure-play humanoid robotics company with proven commercial deployments already running.

The company highlighted commercial momentum, including an expanded deployment of its Digit robot with logistics firm GXO, a manufacturing pilot with AGCO expected to begin in 2027, three more manufacturing customers in paid programs, and a pipeline of more than 30 prospective customers. Its newer Digit 5 robot, unveiled in September, has more than $300 million in committed multi-year orders, with early deliveries planned for the first half of 2027. Investors and partners include NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, and Foxconn.

Why it matters

It would make Agility the first pure-play humanoid robotics company trading on a major US exchange with actual paying customers, a milestone for the sector.
